Matthew Merkle is a capital markets partner in the London office of Kirkland & Ellis International LLP. Matthew represents private equity sponsors, issuers and investment banks in high yield debt offerings in connection with leveraged buyouts and other complex financings in Europe, the United States and emerging markets. ________________________________________ Representative Matters At Kirkland & Ellis, Matthew has represented: • Advent International, Bain Capital and Clessidra in connection with the offering by Mercury Bondco plc of €1.1 billion of high yield PIK notes to finance the acquisition of Istituto Centrale delle Banche Popolari Italiane S.p.A. (ICBPI), an Italian payments banking group. • KKR in its acquisition of the Selecta Group, Europe's largest independent pan-European vending machine operator, from Allianz Capital Partners. • TowerBrook in its sale of Autodistribution, a leading distributor of aftermarket automotive parts in France, to Bain Capital. • Autodistribution, a portfolio company of TowerBrook, in connection with the offering by Autodis S.A. of €60 million of high yield bonds. • HSBC, Barclays and The Royal Bank of Scotland in connection with Merlin Entertainments plc’s offering of €500 million of high yield bonds. • Bain Capital, in connection with an offering of €225 million of high yield bonds to finance its acquisition of the Wittur Group. • Smurfit Kappa Group in connection with its offering of €250 million of bonds. • Deutsche Bank, Morgan Stanley, Standard Chartered, Citigroup and Standard Bank in connection with the offering by Seven Energy, a Nigerian oil and gas company, of $300 million of high yield bonds. • UBS Limited in connection with the offering by Twin Set—Simona Barbieri S.p.A., a portfolio company of The Carlyle Group, of €150 million of high yield bonds. • Smurfit Kappa Group in connection with its offering of €500 million of bonds. • Ideal Standard International S.A., a portfolio company of Bain Capital, in connection with the exchange offer for its outstanding €275 million11¾% Senior Secured Notes due 2018 and offering of €50 million 15.75% Priority PIK Senior Secured Notes due 2018. • IDH Finance plc, a portfolio company of The Carlyle Group, in connection with its offering of £100 million of high yield bonds. • Bain Capital and Advent International in the financing of their DKK17 billion acquisition of Nordic card-payment company Nets Holding AS. • Autodistribution, a portfolio company of TowerBrook, in connection with the offering by Autodis S.A. of €240 million of high yield bonds. • Hastings Insurance Group (Finance) plc in connection with its offering of £266.5 million fixed rate and £150 million floating rate high yield bonds to finance the acquisition of a 50% stake in Hastings Insurance Group Limited by Goldman Sachs Merchant Banking Division. • Citigroup Global Markets and the other initial purchasers in connection with Aguila 3 SA’s offering of $390 million of high yield bonds to finance the acquisition by Swissport of Servisair SAS. • The Caryle Group and IDH Finance plc in connection with IDH Finance plc’s offering of £200 million fixed rate, £125 million floating rate and £75 million second lien high yield bonds. • Labco S.A., in connection with its offering of €100 million of high yield bonds. • Securitas Direct, a portfolio company of Bain Capital and Hellman & Friedman, in connection with an offering of €100 million of high yield bonds. Prior to joining Kirkland & Ellis, Matthew represented a wide range of private equity and other clients in complex financing and other transactions, including Apollo Global Management, Lion Capital, Paulson & Co., J.P.
